ToneShift Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ToneShift (“ToneShift,” “we,” “us,” or “our”), including our website, applications, browser extensions, and related services (collectively, the “Service”).

By accessing or using ToneShift, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use ToneShift.

If you are under 18 years old, you represent and warrant that you have obtained verifiable consent from a parent or legal guardian to use the Service and agree to these Terms on your behalf.

ToneShift is intended for consumer use only and is not designed for children under 13.

2. Accounts and Access

  • You must create an account to access certain features of the Service.
  • Accounts are single-user only and may not be shared.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

3. Subscriptions, Free Trial, and Billing

3.1 Subscription Plans

ToneShift offers a freemium model with optional paid subscription plans, including monthly and annual auto-renewing subscriptions.

All payments are processed through Stripe, and your payment information is handled in accordance with Stripe’s terms and policies.

3.2 Free Trial

A 7-day free trial is offered after you provide payment information.

You will not be charged during the free trial.

You may cancel at any time before the trial ends to avoid being charged.

If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.

3.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before renewal. By subscribing, you authorize recurring charges using your selected payment method.

3.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle.

4. Refund Policy

4.1 General Policy

Except as expressly stated below, all subscription fees are non-refundable.

We do not provide refunds for:

  • Partial months
  • Unused time
  • Renewals after the first billing period
  • Charges after extended usage
  • Cancellations made after a billing cycle begins

4.2 Limited Refund Exceptions

We may issue refunds only in the following cases:

Accidental First Charge

  • Refund requested within 48 hours of the first paid charge
  • Minimal or no usage after the charge
  • One-time courtesy refund per user

Billing Errors

  • Duplicate charges
  • Incorrect charge amounts
  • Technical billing issues

These refunds are granted at our discretion and do not create an ongoing entitlement.

5. User Content and AI Processing

5.1 Ownership

You retain ownership of any text or content you submit to ToneShift (“User Content”).

5.2 License

You grant ToneShift a limited, non-exclusive license to process User Content solely to operate, maintain, and improve the Service, including generating real-time responses and product analytics.

5.3 AI Use and Training

  • User Content is not used to train generalized AI models.
  • Content is de-identified by default.
  • Content may be shared transiently with subprocessors (e.g., AI service providers) strictly for processing and service delivery.

5.4 Data Deletion

You may request deletion of your User Content and account data. Certain data may be retained where required for legal, security, or compliance purposes, as described in our Privacy Policy.

5.5 AI-Generated Output Disclaimer

ToneShift uses automated systems and artificial intelligence to analyze and modify written content for tone, clarity, and communication effectiveness.

You acknowledge and agree that:

  • Outputs generated by ToneShift are algorithmic suggestions only and may be inaccurate, incomplete, or inappropriate in certain contexts.
  • ToneShift does not guarantee the accuracy, reliability, suitability, or intended interpretation of any output.
  • You are solely responsible for reviewing, editing, approving, and determining whether to use any output before sending, publishing, or relying on it.
  • ToneShift does not provide legal, professional, medical, financial, or other regulated advice, and AI-generated outputs should not be relied upon as such.
  • ToneShift is not responsible for consequences arising from how recipients interpret, respond to, or act upon messages generated or modified using the Service.

By using ToneShift, you assume all risks associated with the use of AI-generated outputs and agree that ToneShift will not be liable for any damages, losses, or claims resulting from reliance on such outputs. ToneShift makes no representations regarding how any third party may perceive, interpret, or respond to content generated or modified through the Service.

6. Acceptable Use

You agree not to use ToneShift to:

  • Harass, threaten, or abuse others
  • Generate or distribute hate speech
  • Create sexual content involving minors
  • Impersonate real individuals deceptively
  • Facilitate illegal activity
  • Upload sensitive personal data (e.g., SSNs, medical information)
  • Violate intellectual property or other rights

We reserve the right to remove content, restrict access, suspend accounts, or report unlawful activity where required.

7. Enforcement

ToneShift uses a hybrid enforcement system, combining automated monitoring with mandatory manual review for high-impact actions such as permanent suspension or termination.

8. Third-Party Services and Integrations

  • ToneShift may integrate with third-party services such as email providers, messaging platforms, or browser extensions.
  • Third-party services are governed by their own terms and policies.
  • You authorize ToneShift to access connected accounts only as necessary to provide enabled features.
  • We are not responsible for third-party outages, errors, or data practices.

9. Intellectual Property and Feedback

ToneShift and its licensors retain all rights, title, and interest in the Service, including all related technology, software, branding, and content.

If you submit feedback, suggestions, or ideas, you grant ToneShift a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback without compensation or attribution.

10. Termination

You may stop using the Service at any time.

We may suspend or terminate your access if you violate these Terms or pose a risk to the Service or others.

Upon termination:

  • Your access will end
  • User Content may be deleted, subject to legal retention requirements

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

11. Disclaimers

ToneShift is provided “as is” and “as available.” We do not guarantee that the Service will be uninterrupted, error-free, or meet your expectations.

ToneShift does not provide legal, professional, or medical advice.

12. Limitation of Liability

To the maximum extent permitted by law, ToneShift’s total liability for any claim arising out of or related to the Service shall not exceed the amount you paid to ToneShift in the twelve (12) months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless ToneShift and its affiliates from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law, except where caused by ToneShift’s gross negligence or willful misconduct.

14. Dispute Resolution and Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, with a class action waiver, except for claims eligible for small claims court.

Arbitration will be conducted in accordance with applicable arbitration rules, and Minnesota law governs these Terms.

15. Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Privacy Policy

16. Miscellaneous

These Terms constitute the entire agreement between you and ToneShift. If any provision is found unenforceable, the remaining provisions will remain in effect.

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
